This Note Purchase Agreement (this “Agreement”) is made and entered into as of the 27st day of September 2016, by and between SmooFi, Inc., a Nevada corporation (“Seller”) and Douglas S. Kircher, an individual residing in California or his assigns (“Purchaser”), collectively referred to herein as the “Parties” or individually as a “Party”.

Kircher u/a dtd 12/29/2004 or its assigns (“Purchaser”), collectively referred to herein as the “Parties” or individually as a “Party”.
