THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of February 10, 2014 (the “Effective Date”) by and between PROS, Inc., a Delaware corporation (the “Company”), PROS Holdings, Inc., a Delaware corporation (“PROS Holdings”), and D. Blair Crump (the “Employee”). The Company and the Employee are sometimes collectively referred to herein as the “Parties” and individually referred to herein as a “Party.”
