This Amendment, effective as of January 1, 2021 (this “Amendment”), amends the Emeritus Agreement, dated as of December 20, 2019 (the “Emeritus Agreement”), between Tiptree Inc. (the “Company”) and Arif Inayatullah (“Inayatullah” and together with the Company, the “Parties”). Unless context requires otherwise, capitalized terms used herein but not defined herein shall have the meanings given to them in the Original Emeritus Agreement.
