STOCK PURCHASE AGREEMENT (the “Agreement”) dated May 2, 2011 (hereinafter referred to as the “Signing Date” or the “Signing”) by and among Elkhorn Goldfields, LLC, a Delaware limited liability company (the “Seller”), CSI Resources, Inc., a Nevada corporation (the “Purchaser”) and Consolidation Services, Inc., a Delaware corporation (“CSI”).
