AGREEMENT made as of the 1st day of May, 2009, by and among Monteagle Funds, a Delaware business trust, with its principal office and place of business at 209 Tenth Avenue South, Suite 332, Nashville, Tennessee 37203, (the 'Trust"); Nashville Capital Corporation ("Nashville"), a Tennessee corporation, with its principal office and place of business at 209 Tenth Avenue South, Suite 332, Nashville, Tennessee 37203 (the "Adviser"); and Davis Hamilton Jackson Sc. Associates, L.P., a Delaware limited partnership, with its principal office and place of business at 1401 McKinney Street, Suite 1600, Houston, Texas 77010 (the "Subadviser").
