This Stock Purchase Agreement (this “Agreement”) is dated as of September 14, 2012, between ParkerVision, Inc., a Florida corporation (the “Company”), and each purchaser identified on the signature pages hereto (each, including its successors and assigns, a “Purchaser” and collectively, the “Purchasers”).

ParkerVision, Inc., a Florida corporation (the “Company”), proposes, subject to the terms and conditions stated in this Placement Agency Agreement (this “Agreement”) and the Stock Purchase Agreement in the form of Exhibit A attached hereto (the “Stock Purchase Agreement”) entered into with the investors identified therein (each, an “Investor” and collectively, the “Investors”), to issue and sell up to an aggregate of 4,381,761 shares (the “Shares”) of the Company’s common stock, par value $0.01 per share (the “Common Stock”). The Company hereby confirms its agreement with Craig-Hallum Capital Group LLC (“Craig-Hallum”), as set forth below. Craig-Hallum is referred to as the “Lead Placement Agent” and any co-placement agent approved by Craig-Hallum, including Ladenburg Thalmann & Co. Inc.
