THIS AGREEMENT is made as of this 17th day of April 2013, by and between CORNERSTONE PROGRESSIVE RETURN FUND (the "Fund"), a Delaware statutory trust having its principal place of business at 1075 Hendersonville Road, Suite 250, Asheville, North Carolina 28803 and AST FUND SOLUTIONS, LLC ("ASTFS"), a limited liability company organized under the laws of the State of Delaware and having it principal place of business at 6501 15th Avenue, Brooklyn, New York 11219.
