THIS AMENDMENT NO. 1 to the Distribution Agreement (this “Amendment”), made this 1st day of June, 2014, with effect retroactively from and after the 10th day of December, 2013 (the “Amendment Effective Date”), by and among Cambria ETF Trust (the “Company”), a Delaware statutory trust, and SEI Investments Distribution Co. (the “Distributor”), a Pennsylvania corporation.
