This Agreement is made and entered into effective as of November 30, 2015, by and between the BPV Family of Funds, a Delaware statutory trust (the "Trust") on behalf of the BPV High Quality Short Duration Income Fund, a series of shares of the Trust (the "Fund"), and BPV Capital Management, LLC, a Delaware limited liability company (the "Adviser").
