THIS SUB-ADVISORY AGREEMENT (the “Agreement”), dated as of October 18, 2017, is entered into by and between Vivaldi Asset Management LLC, a Delaware corporation with its principal office and place of business at 225 West Wacker Drive Suite 2100 Chicago, Illinois 60606 (the “Advisor”) and Angel Oak Capital Advisors, LLC, a Limited Liability Company with its principal office and place of business at 3060 Peachtree Rd, NW Suite 500, Atlanta, GA 30305 (the “Sub-advisor”).
