THIS SUBSCRIPTION AGREEMENT is entered into as of the 18th day of December 2017, between Investment Managers Series Trust, a statutory trust organized and existing under the laws of Delaware (the "Trust") on behalf of the AAM/HIMCO Global Enhanced Dividend Fund (the “Fund”), and Advisors Asset Management, Inc. (the "Purchaser").
