This Dealer Agreement (the "Agreement") has been adopted pursuant to a Distribution Plan (the "Plan") adopted by the Fund pursuant to an exemptive order granted by the Securities and Exchange Commission (the "SEC"). This Agreement, being made between UMB Distribution Services, LLC (the "Distributor") and the undersigned authorized dealer, relates to the services to be provided by the authorized dealer and for which it is entitled to receive payments pursuant to the Plan.

THIS CO-DISTRIBUTION AGREEMENT (the “Agreement”) is made as of this 20 day of October, 2017, by and between the Wildermuth Endowment Strategy Fund, a Delaware statutory trust (the “Fund”), and Wildermuth Securities, LLC, a Delaware limited liability company (“Wildermuth”).
