This Agreement is made and entered into effective as of ______________ ___, 2018, by and between the ALPS Series Trust (the “Trust”), a Delaware statutory trust, on behalf of the Seven Canyons Strategic Income Fund (the “Strategic Income Fund”) and the Seven Canyons World Innovators Fund (the “World Innovators Fund”), each a series of shares of the Trust (collectively, the “Funds” and individually, a “Fund”), and Seven Canyons Advisors, LLC, a Delaware corporation (the “Adviser”).
