AGREEMENT made this 30th day of June, 2017, between Asset Management Fund (the "Trust"), a Delaware statutory trust having its principal place of business at 690 Taylor Road, Suite 210, Gahanna, Ohio 43230 on behalf of the investment portfolios set forth on Schedule A attached hereto, and Advanced Asset Management Advisors, Inc. (the "Investment Adviser"), an investment adviser having its principal place of business at 4995 Bradenton Avenue, Dublin, Ohio 43017.

(the "Purchaser") hereby subscribes to purchase a beneficial interest ("Interest") of the AAMA Equity Fund, a series of Asset Management Fund, in the amount of $10 for one share at net asset value of $10.00 per share, in consideration for which the Purchaser agrees to transfer to you upon demand cash in the amount of $10.

This First Amendment ("Amendment") to the Fund Accounting and Financial Administration Addendum (the "Addendum") to the Master Services Agreement ("Agreement"), dated June 6, 2017 by and between Foreside Management Services, LLC, on behalf of Asset Management Fund (the "Trust"), and its series listed on Schedule A of the Agreement and Ultimus Fund Solutions, LLC ("Ultimus"), an Ohio limited liability company (collectively the "Parties'') is entered into as of September 11, 2018 (the "Effective Date").
