As you are aware, Unified Series Trust (the “Trust”) entered into a Management Agreement with Spouting Rock Fund Management with respect to the Spouting Rock/Convex Global Dynamic Risk Fund (the “Dynamic Risk Fund”) dated as of August 11, 2014, which Agreement was amended as of April 7, 2017 and March 1, 2018 (the “SRFM Agreement”). Pursuant to a Transfer and Assumption Agreement dated as of December 10, 2018, Spouting Rock Fund Management transferred all of its rights, interest and obligations in and under the SRFM Agreement to you, and you assumed and agreed to performed all duties and obligations of Spouting Rock Fund Management under the SRFM Agreement. Effective December 10, 2018, the name of the Dynamic Risk Fund changed to “Spouting Rock Small Cap Growth Fund.” Accordingly, the Trust hereby confirms its agreement with you with respect to the Spouting Rock Small Cap Growth Fund (the “Fund”).

THIS OPERATING EXPENSE LIMITATION AGREEMENT (the “Agreement”) is effective as of the 10th day of December, 2018, by and between UNIFIED SERIES TRUST, an Ohio business trust (the “Trust”), on behalf of each series of the Trust set forth on Appendix A attached hereto (each a “Fund” and collectively the “Funds”) and the investment adviser of the Funds, Spouting Rock Asset Management, LLC (the “Adviser”).
