THIS AMENDED AND RESTATED INVESTMENT ADVISORY AGREEMENT (the “Agreement”), dated March 18, 2019, is made by and between The Advisors’ Inner Circle Fund III (the “Trust”), a Delaware statutory trust registered as an investment company under the Investment Company Act of 1940, as amended (the “1940 Act”), on behalf of the series set forth on Schedule A to this Agreement (the “Fund”), as said Schedule may be amended from time to time upon mutual agreement of the parties hereto, and Aperture Investors, LLC (the “Adviser”), a Delaware limited liability company with the Adviser’s principal place of business at 250 West 55th Street, 30th Floor, New York, NY 10019, and amends the prior Investment Advisory Agreement between the Trust, on behalf of the Fund, and the Adviser, dated December 26, 2018 (the “Original Effective Date”).

The Trust will pay to the Adviser as compensation for the Adviser’s services rendered, a fee, computed daily at an annual rate based on the average daily net assets of the Fund in accordance with the following fee schedule:

This ADVISOR COMPLEX SCHEDULE (this “Schedule”) to the Agreement (as amended, the “Agreement”) originally made as of the 12th day of March, 2014, by and between THE ADVISORS’ INNER CIRCLE FUND III, a business trust existing under the laws of the State of Delaware, having its principal place of business at One Freedom Valley Road, Oaks, Pennsylvania 19456 (the "Trust”) and DST SYSTEMS, INC., a corporation existing under the laws of the State of Delaware, having its principal place of business at 333 West 11th Street, 5th Floor, Kansas City, Missouri 64105 ("DST") is entered into by and between DST and the Trust as of the 16th day of January 2019.
