THIS SECOND AMENDED AND RESTATED INVESTMENT ADVISORY AGREEMENT (the “Agreement”), dated June 27, 2019, is made by and between The Advisors’ Inner Circle Fund III (the “Trust”), a Delaware statutory trust registered as an investment company under the Investment Company Act of 1940, as amended (the “1940 Act”), on behalf of the series set forth on Schedule A and Schedule B to this Agreement (each a “Fund”), as said Schedule may be amended from time to time upon mutual agreement of the parties hereto, and Aperture Investors, LLC (the “Adviser”), a Delaware limited liability company with the Adviser’s principal place of business at 250 West 55th Street, 30th Floor, New York, NY 10019, and amends the prior Investment Advisory Agreement between the Trust, on behalf of the Fund, and the Adviser, dated December 26, 2018 (the “Original Effective Date”), as amended and restated as of March 18, 2019.

THIS AMENDMENT to the Investment Advisory Agreement (this “Amendment”) is entered into effective the 1st day of July, 2019 (“Amendment Effective Date”) by and between The Advisors’ Inner Circle Fund III (the “Trust”), a Delaware statutory trust registered as an investment company under the Investment Company Act of 1940, as amended (the “1940 Act”) and MetLife Investment Management, LLC (the “Adviser”), a limited liability company organized under the laws of Delaware with its principal place of business located at One MetLife Way, Whippany, NJ 0798.

This ADVISOR COMPLEX SCHEDULE (this “Schedule”) to the Agreement (as amended, the “Agreement”) originally made as of the 12th day of March, 2014, by and between THE ADVISORS’ INNER CIRCLE FUND III, a business trust existing under the laws of the State of Delaware, having its principal place of business at One Freedom Valley Road, Oaks, Pennsylvania 19456 (the "Trust”) and DST SYSTEMS, INC., a corporation existing under the laws of the State of Delaware, having its principal place of business at 333 West 11th Street, 5th Floor, Kansas City, Missouri 64105 ("DST") is entered into by and between DST and the Trust as of the 18th day of March 2019.
