This Expense Limitation Agreement is made and entered into effective as of _______, 2019, by and between the Axonic Funds, a Delaware statutory trust (the “Trust”), on behalf of the Axonic Strategic Income Fund (the “Fund”), a series of shares of the Trust, and Axonic Capital LLC, a Delaware limited liability company (the “Adviser”).
