WHEREAS, Crawford Investment Counsel, Inc. (the "Adviser") and Unified Series Trust (the "Trust") entered into a Management Agreement, effective as of August 13, 2012, pursuant to which the Adviser has agreed to act as the sole investment adviser of the Crawford Dividend Opportunity Fund (the "Fund") (the Management Agreement, as hereby amended and restated, is referred to hereinafter as the "Agreement"); and

THIS AMENDED AND RESTATED OPERATING EXPENSE LIMITATION AGREEMENT (the “Agreement”) is effective as of the 1st day of September, 2019, and amends and restates in its entirety the operating expense limitation agreement dated as of the 1st day of May, 2017, by and between UNIFIED SERIES TRUST, an Ohio business trust (the “Trust”), on behalf of each series of the Trust set forth on Appendix A attached hereto (each a “Fund” and collectively the “Funds”) and the investment adviser of the Funds, Crawford Investment Counsel, Inc. (the “Adviser”).
