THIS AGREEMENT, dated as of April 30, 2020, is made and entered into by and between the Praxis Mutual Funds, a Delaware statutory trust (the “Trust”), on behalf of each series set forth in Schedule A attached hereto (the “Funds”), and Everence Capital Management, Inc. (the “Adviser”).

This Third Amendment (this “Amendment”) to the Master Services Agreement dated as of March 1, 2016, as amended (the “Agreement”), by and between Foreside Management Services, LLC, a Delaware limited liability company (the “Client”), on behalf of Praxis Mutual Funds, a Delaware statutory trust (the “Trust”), and Ultimus Fund Solutions, LLC, an Ohio limited liability company (“Ultimus”), is effective as of January 1, 2020 (the “Effective Date”).

This First Amendment (the “Amendment”) to the Master Services Agreement dated as of March 1, 2016 (the “Agreement”), by and between Foreside Management Services, LLC, as assignee from Beacon Hill Fund Services, Inc. by consent (the “Client”) on behalf of the Praxis Mutual Funds (the “Trust”), a Delaware statutory trust and Ultimus Fund Solutions, LLC (“Ultimus), a limited liability company organized under the laws of the State of Ohio is entered into as of November 2, 2016 (the “Effective Date”).
