DISTRIBUTION AGREEMENT, dated as of December 31, 2019, by and among Cross Shore Discovery Fund, a Delaware statutory trust, on behalf of the Cross Shore Discovery Fund, the sole series of the Trust (the “Trust”), Cross Shore Capital Management, LLC, a Delaware limited liability company, the investment adviser to the Trust (the “Adviser”), and Ultimus Fund Distributors, LLC, an Ohio limited liability company (the “Distributor”).
