Re: Agreement and Plan of Reorganization, dated as of June 26, 2020 (the “Agreement”), by and among (i) Schroder Series Trust, a Massachusetts voluntary association (commonly known as a business trust) (the “Trust”), on behalf of its series, the Schroder Total Return Fixed Income Fund (the “Target Fund”); (ii) the Trust, on behalf of its series, the Schroder Core Bond Fund (the “Acquiring Fund” and together with the Target Fund, the “Funds”, and each a “Fund”); and (iii) solely for the purposes of Sections 4.3 and 9.2 of the Agreement, Schroder Investment Management North America Inc. (“Adviser”) the investment adviser of each Fund.
