THIS AMENDED AND RESTATED OPERATING EXPENSE LIMITATION AGREEMENT (the “Agreement”) is effective as of the 1st day of December, 2019 and amends and restates in its entirety the operating expense limitation agreement dated as of the 1st day of August, 2017, by and between UNIFIED SERIES TRUST, an Ohio business trust (the “Trust”), on behalf of each series of the Trust set forth on Appendix A attached hereto (each a “Fund” and collectively the “Funds”) and the investment adviser of the Funds, Dean Investment Associates, LLC (the “Adviser”).

WHEREAS, Dean Investment Associates, LLC (the “Adviser”) and Unified Series Trust (the “Trust”) entered into a Management Agreement, effective as of December 12, 2011, as amended and restated effective as of April 1, 2016, pursuant to which the Adviser has agreed to act as the investment adviser of the Dean Mid Cap Value Fund (the “Fund”) (the management Agreement, as hereby amended and restated, is referred to hereinafter as the “Agreement”); and
