INVESTMENT ADVISORY AGREEMENT (the “Agreement”) made as of this 26th day of October, 2020, by and between the RQSI GAA Systematic Global Macro Fund Ltd. (the “Company”), a limited company incorporated in the Cayman Islands and a wholly-owned subsidiary of the RQSI GAA Systematic Global Macro Fund (the “Fund”), a series of The Advisors Inner Circle Fund II, a Massachusetts voluntary association (commonly known as a business trust) registered with the Securities & Exchange Commission (the “SEC” or the “Commission”) as an open-end management investment company under the U.S. Investment Company Act of 1940 (the “1940 Act”), and Ramsey Quantitative Systems, Inc. (the “Adviser”), an investment adviser registered with the SEC under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and with the Adviser’s principal place of business located at 1350 Avenue of the Americas, Suite 700, New York, New York 10019.
