THIS SUB-ADVISORY AGREEMENT (the "Agreement"), dated as of December 1, 2022, is entered into by and between Liberty Street Advisors, Inc., a New York corporation with its principal office and place of business at 100 Wall Street, Floor 20, New York, NY 10005 (the "Advisor") and Bramshill Investments, LLC, a Delaware limited liability company, with its principal office and place of business at 801 Laurel Oak Drive, Ste 300A, Naples, FL 34108 (the "Sub-advisor").
