THIS FORM OF SUB-ADVISORY AGREEMENT (the “Agreement”), dated as of __________, is entered into by and between AXS Investments, LLC, a Delaware limited liability company with its principal office and place of business at 181 Westchester Avenue, Suite 402, Port Chester, New York 10573 (the “Advisor”) and Alternative Access Funds, LLC, a limited liability company with its principal office and place of business at 840 Apollo Street, Suite 100, El Segundo, CA 90245 (the “Sub-advisor”).
