INVESTMENT ADVISORY AGREEMENT (the “Agreement”) made as of this 29th day of February, 2024, by and between The Advisors’ Inner Circle Fund II (the “Trust”), a Massachusetts business trust registered as an investment company under the Investment Company Act of 1940, as amended (the “1940 Act”), and Cullen Capital Management, LLC (the “Adviser”), a limited liability company organized under the laws of the State of Delaware, with its principal place of business at 645 5th Avenue, Suite 1201, New York, NY 10022.

THIS AMENDMENT TO CUSTODIAN AND TRANSFER AGENT AGREEMENT (this “Amendment”) is made as of February 5, 2024 by and between THE ADVISORS’ INNER CIRCLE FUND II (the “Fund”) including on behalf of each of its separate series listed on Exhibit A hereto, the “Portfolios”), a management investment company organized as a Massachusetts business trust under the laws of the Commonwealth of Massachusetts and registered with the Commission under the Investment Company Act of 1940 (the “1940 Act”), and BROWN BROTHERS HARRIMAN & CO., a limited partnership formed under the laws of the State of New York (“BBH”).
