INVESTMENT ADVISORY AGREEMENT (the “Agreement”) made as of this 9th day of April, 2024, by and between The Advisors’ Inner Circle Fund II (the “Trust”), a Massachusetts voluntary association (commonly known as a business trust) registered as an investment company under the Investment Company Act of 1940, as amended (the “1940 Act”), and Vontobel Asset Management, Inc. (the “Adviser”), a corporation organized under the laws of the State of New York, with the Adviser’s principal place of business at 66 Hudson Boulevard, 34th Floor, Suite 3401, New York, NY 10002.

This Amendment to Custodian Agreement (the “Amendment”) is made effective as of April 1, 2024 by and between THE ADVISORS’ INNER CIRCLE FUND II (the “Fund,” including on behalf of each of its separate series listed on Schedule I), a management investment company organized as a Delaware statutory trust and registered with the Commission under the Investment Company Act of 1940 (the 1940 Act), and BROWN BROTHERS HARRIMAN & CO., a limited partnership formed under the laws of the State of New York (“BBH&Co.” or the “Custodian”).
