AGREEMENT dated as of November 1, 2024, between Forum Funds, a Delaware statutory trust, on behalf of its portfolios listed on Appendix A attached hereto (as it may be amended from time to time), individually and not jointly, (each, a “Fund”), and ReFlow Fund, LLC, a Delaware limited liability company (“ReFlow”), in consideration of the mutual agreements herein contained and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto hereby agree as follows:
