THIS FUND OF FUNDS INVESTMENT AGREEMENT (the “Agreement”), dated as of October 31, 2024 (“Effective Date”), is made among AuguStar Variable Insurance Products Funds, Inc., on behalf of each of its series listed in Schedule A (each, an “Acquiring Fund”) and The Bank of New York Mellon, solely in its capacity as Trustee and on behalf of the Invesco QQQ Trust, Series 1 (the “Acquired Fund” and together with the Acquiring Funds, the “Funds”).

This Fund of Funds Investment Agreement (this “Agreement”), is effective as of October 16, 2024 (the “Effective Date”), is made among AuguStar℠ Variable Insurance Products Fund, Inc., on behalf of its series listed on Schedule A, severally and not jointly (each, the “Acquiring Fund”), and SPDR Series Trust, SPDR Index Shares Funds and SSGA Active Trust (each, a “Trust”), each on behalf of their series listed on Schedule B, severally and not jointly (each, the “Acquired Fund” and together with the Acquiring Funds, the “Funds”).

THIS AMENDMENT NO. 1 dated as of October 7, 2024 (“Amendment”) to the FUND OF FUNDS INVESTMENT AGREEMENT, dated as of January 19, 2022 (the “Agreement”) is made by and between the AuguStarSM Variable Insurance Products Fund, Inc. f/k/a Ohio National Fund, Inc., on behalf of itself and its separate series listed in the Agreement’s Schedule A, severally and not jointly (each an “Investing Fund”), and the investment trusts listed on the Agreement’s Schedule A, on behalf of themselves and their respective series also listed on Schedule A, severally and not jointly (each a “Vanguard Fund” and together with the Investing Funds, the “Funds”).
