THIS FIRST AMENDMENT TO POSITIVEID CORPORATION EMPLOYMENT AND NON-COMPETE AGREEMENT (the “First Amendment”) is dated this 30th day of September, 2011 (the “Effective Date”), by and between the parties to this First Amendment (hereinafter individually referred to as a “Party” and collectively referred to as the “Parties”), POSITIVEID CORPORATION, a Delaware corporation (hereinafter referred to as “PSID”), and SCOTT R.
