This TRANSACTION SUPPORT AGREEMENT (RECAPITALIZATION) (as amended, modified or supplemented from time to time, this “Agreement”) is entered into as of September 16, 2013, by and among (i) Interactive Network, Inc., a Nevada corporation (“INI”), FriendFinder Networks Inc., a Nevada corporation (“FFN” and, collectively with INI, the “Issuers”), and each of the undersigned entities listed as guarantors (collectively, the “Guarantors” and, together with Issuers, the “Company”), (ii) each of the undersigned holders (the “Consenting First Lien Noteholders”) of the 14% Senior Secured Notes due 2013 (the “First Lien Notes”), issued pursuant to that certain Indenture (as amended, modified or supplemented prior to the date hereof, the “First Lien Indenture”), dated as of October 27, 2010 with U.S. Bank National Association serving as Indenture Trustee (the “First Lien Indenture Trustee”), and (iii) each of the undersigned holders (the “Consenting Second Lien Noteholders”) of (a) the 14% Cash Pay
