ASSET PURCHASE AGREEMENT (this “Agreement”) is made and executed as of March 10, 2024 (the “Execution Date”), by and between NanoString Technologies, Inc., a Delaware corporation (“Seller”), and Nucleus Buyer, LLC, a Delaware limited liability company (“Buyer”). Seller and Buyer may be referred to herein individually as a “Party” and collectively as the “Parties.”
