WHEREAS, pursuant to the terms of that certain Purchase and Sale Agreement, dated as of , 20 , by and between Assignor and Assignee (the “Purchase Agreement”), Assignor agreed to sell to Assignee, inter alia, certain real property, the improvements located thereon and certain rights appurtenant thereto, all as more particularly described in the Purchase Agreement (collectively, the “Property”). Initially capitalized terms not otherwise defined herein shall have the respective meanings ascribed to such terms in the Purchase Agreement; and

Assignor by these presents does hereby BARGAIN, SELL, ASSIGN and CONVEY unto Assignee, its successors and assigns, all of Seller’s right, title and interest, if any. in and to the Intangibles (to the extent assignable).
