THIS AGREEMENT OF PURCHASE AND SALE (this “Agreement”) is made as of March 10, 2016 (the “Effective Date”), by and between RRE MEMORIAL TOWERS HOLDINGS, LLC, a Delaware limited liability company, having an address at c/o Resource Real Estate, Inc., 1845 Walnut Street, 18th Floor, Philadelphia, PA 19103 (“Seller”), and The Barvin Group, LLC, a Texas limited liability company, having an address at 5500 El Camino Del Rey, Suite 101, Houston, TX 77081 (“Buyer”).
