THIS AGREEMENT is made as of the 30th day of April, 2008 (the “Effective Date”) between Sprott-Shaw Degree College Corp., a British Columbia company having an office at Unit 1200, 777 West Broadway, Vancouver, BC, V5Z 4J7 (the “Purchaser”) and Global Education in Tourism Ltd. (the “Vendor”), a British Columbia Company, having its registered office address 700 – 625 Howe Street, Vancouver, B.C. V6C 2T6.
