Parties: HL Ventures Inc., a Nevada corporation (“HL”), and Urban Barns Foods Inc., an Alberta corporation (“Urban Barns”), wish to enter into this binding letter of intent (the “LOI”) which will provide for the basic structure of a share exchange and reverse merger between the parties (the “Share Exchange”).
