THIS AMENDED AND RESTATED EXCHANGE AGREEMENT (the "Agreement"), is made and entered into as of November 9, 2011, by and among Diversified Global Holdings Group, Inc., a Florida corporation ("DGHG"), and Sibtechservis-N LLC a limited company formed under the laws of the Russian Federation ("STSN”), and the owners of STSN set forth on the signature pages to this Agreement (collectively, the "STSN Owners" or “Owners”), with respect to the following facts:
