This THIRD AMENDED AND RESTATED EMPLOYMENT AGREEMENT (“Agreement”) is entered into as of November 1, 2016 (the “Effective Date”) between AGNC Mortgage Management, LLC (formerly known as American Capital Mortgage Management, LLC), a Delaware limited liability company (the “Company”), and Gary Kain (the “Executive”) and supersedes and replaces in its entirety that certain Second Amended and Restated Employment Agreement, entered into between the Company and the Executive, dated as of September 22, 2014, as amended July 1, 2016 (the “Prior Agreement”).
