AGREEMENT made as of the 1st day of August, 2012 by and between Absolute Investment Advisers LLC, a Massachusetts limited liability company with its principal office and place of business at 18 Shipyard Drive, Suite 3C, Hingham, MA 02043 (the "Adviser") (the "Adviser") and Madden Asset Management LLC, a Massachusetts limited company with its principal office and place of business at 2310 Washington Street, Suite 420, Newton Lower Falls, MA 02462 (the "Subadviser").

This agreement can only be terminated or amended upon the approval of the Forum Funds Board of Trustees (the "Board") and is automatically terminated if the Adviser is no longer a service provider to the Fund. Unless otherwise amended or terminated, this agreement will renew automatically for one-year terms unless the Adviser provides written notice of its termination to the Board at least 90 days prior to the end of the then current term.
