AGREEMENT made as of July 13, 2001, and amended August 28, 2003, June 24, 2011 and September 20, 2013, by and between Forum Funds, a Delaware business trust, with its principal office and place of business at Three Canal Plaza, Portland, Maine 04101 (the "Trust"), and D.F. Dent and Company, Inc., a Maryland corporation, with its principal office and place of business at 2 East Read Street, Baltimore, Maryland 21202 (the "Adviser").
