AGREEMENT made as of the 23rd day of March, 2016, by and between Absolute Investment Advisers LLC, a Massachusetts limited liability company with its principal office and place of business at 18 Shipyard Drive, Suite 3C, Hingham, MA, 02043 (the "Adviser") and Kovitz Investment Group Partners, LLC, a Delaware limited liability company with its principal office and place of business at 115 South LaSalle Street, 27th Floor, Chicago, IL 60603 (the "Subadviser").

This Agreement is made and to be performed principally in the states of New York and Maine, and except insofar as the Investment Company Act of 1940, as amended, or other federal laws and regulations may be controlling, this Agreement shall be governed by, and construed and enforced in accordance with, the internal laws of the State of Delaware.
