TERMINATION AGREEMENT dated as of October 31, 2013 (this “Agreement”) by and between XUN ENERGY, INC. (“Company”), and PRODIGY ASSET MANAGEMENT, LLC. (“PAM”) (the Company and PAM are each a “Party” and collectively the “Parties”). Capitalized terms used herein and not otherwise defined herein shall have the meanings ascribed to them in the Investment Banking and Advisory Agreement (defined below).
