Certain shareholders named in Schedule I hereto (the “Selling Stockholders”) of Bright Horizons Family Solutions Inc., a Delaware corporation (the “Company”), propose to sell to Barclays Capital Inc. (the “Underwriter”) an aggregate of 3,000,000 shares of common stock, par value $0.001 per share (“Stock”), of the Company (the “Shares”).
