This Indemnification Agreement (the “Agreement”) is entered into as of this ____ day of July ______, 2011, by and among Quepasa Corporation, a Nevada corporation (the “Company”), Rick Lewis (the “Indemnitee”) and U.S. Venture Partners IX, L.P. (together with any affiliated venture capital funds and the general partners, managing members or other control persons and/or any affiliated management companies, the “VC Funds,” and each, individually, a “VC Fund”), and replaces any and all Indemnification Agreements previously entered into between the Parties:
