This Registration Rights Agreement (the “Agreement”) is made and entered into as of this 29th day of January, 2013 by and among Qualstar Corporation, a California corporation (the “Company”), and the “Buyers” named in those certain Sale Agreements by and among the Company, the Buyers and the seller named therein (the “Sale Agreements”). Capitalized terms used herein have the respective meanings ascribed thereto in the Sale Agreements unless otherwise defined herein.
