This REGISTRATION RIGHTS AGREEMENT (this “Agreement”), dated as of November 8, 2013, is by and between Liquidmetal Technologies, Inc., a Delaware corporation (the “Company”), and Kingsbrook Opportunities Master Fund LP, a Cayman Islands exempted limited partnership (“Kingsbrook”), Tech Opportunities LLC, a Delaware limited liability company (“Tech Opportunities”), and Iroquois Master Fund Ltd., a Cayman Islands exempted company (“Iroquois”). Kingsbrook, Tech Opportunities, and Iroquois are sometimes hereinafter referred to individually as an “Investor” and collectively as the “Investors”.
