THIS DEBENTURE AMENDMENT AGREEMENT (this “Amendment”), effective as of September 2, 2014 (the “Effective Date”), is entered into among PLC SYSTEMS INC., a Yukon Territory corporation (the “Company”), and each holder of the Company’s 5% Senior Secured Convertible Debentures (the “Holders,” and each a “Holder”), that has executed the signature page hereto.

FOR VALUE RECEIVED, and subject to the terms and conditions set forth herein, PLC SYSTEMS, a Yukon Territory corporation (the “Borrower”), hereby unconditionally promises to pay to the order of GCP IV LLC or its assigns (the “Noteholder”, and together with the Borrower, the “Parties”), the principal amount of $250,000 (the “Loan”), together with all accrued interest thereon, as provided in this Promissory Note (the “Note”).
