This Option Agreement (this “Agreement”), dated as of September 22, 2014, is by and between Home Value Holding Co., Limited, a company incorporated under the laws of the British Virgin Islands (the “Option Holder”), and Solar Power, Inc., a California corporation (the “Company”). Each of the Option Holder and the Company is referred to herein as a “Party,” and collectively as the “Parties.”

This Purchase Agreement (this “Agreement”), dated as of Sept. 22, 2014, is by and between the persons indicated on Schedule I attached hereto (each a “Purchaser,” and collectively, the “Purchasers”), and Solar Power, Inc., a California corporation (the “Company”). The Purchasers and the Company are sometimes herein referred to each as a “Party,” and collectively as the “Parties.”
