This MEMBERSHIP INTEREST PURCHASE AGREEMENT (this “Agreement”), dated as of September 22, 2014, is made and entered into by and between SPI Solar Japan GK, a Japanese godo kaisha (“Purchaser”), and Mr. Takao Yasuda, an individula (“Seller”) (Purchaser and Seller are sometimes referred to herein each as a “Party” and together as the “Parties”).
